Abstract:
"Corporate law is essentially concerned with, first, providing a corporate entity or organ with the means to facilitate and regulate the process of raising capital (i.e. legal principles of corporate finance) and, second, imposing controls on persons whose power is elevated by the finance that the use of the corporate form has placed at their disposal (i.e. corporate governance). Corporate law and corporate governance offers up-to-date content dealing with regulation of different aspects of business organisations (particularly companies). Corporate law and corporate governance demystifies a number of corporate law concepts, ranging from incorporation and legal personality to fundamental transactions, takeovers and offers. These concepts are discussed against the backdrop of the Constitution of the Republic of South Africa, 1996 and its impact on the development of corporate law. The book provides an extensive interpretation of the King IV⁴́Ø corporate governance principles in the context of the legal framework of the Companies Act, 2008 and the common law.
